These Terms govern your use of TaxPlan Pro (the "Service") provided by [Your Legal Business Name] ("we", "us"). By creating an account or using the Service, you agree to these Terms.
TaxPlan Pro is a tax-planning workbench for tax practitioners. It is a modeling and reporting tool only; outputs are estimates and do not constitute tax, legal, or financial advice. You are responsible for verifying figures before filing.
You must provide accurate registration information and keep your credentials confidential. You are responsible for all activity under your account. If you are using the Service on behalf of an organization, you represent that you have authority to bind it to these Terms.
You agree not to: (a) use the Service for any unlawful purpose, (b) attempt to gain unauthorized access, probe, scrape, or interfere with the Service, (c) infringe any intellectual property right, or (d) upload malware or spam.
We retain all rights, title, and interest in the Service, including software, documentation, and branding. We grant you a limited, non-exclusive, non-transferable right to use the Service within your chosen plan. You retain ownership of the client data you input.
We provide the Service on an "as is" and "as available" basis. We do not guarantee uninterrupted or error-free performance and disclaim, to the fullest extent permitted by law, all implied warranties of merchantability and fitness for a particular purpose.
Our order process is conducted by our online reseller Paddle.com. Paddle.com is the Merchant of Record for all our orders. Paddle provides all customer service inquiries and handles returns. Payment, billing, taxes, cancellations, and refunds are governed by Paddle's Buyer Terms.
We may suspend or terminate access for material breach of these Terms, non-payment, suspected fraud or security risk, or repeated policy violations. You may stop using the Service at any time. On termination you may export your data within a reasonable window before it is deleted.
To the maximum extent permitted by law, our aggregate liability is capped at the fees you paid for the Service in the prior 12 months. We are not liable for indirect, consequential, or special damages (loss of profits, data, or goodwill). Nothing limits liability for fraud, death, or personal injury where prohibited by law.
These Terms are governed by the laws of the jurisdiction in which [Your Legal Business Name] is established. Disputes will be resolved in that jurisdiction's courts.
We may update these Terms from time to time. Material changes will be announced in the Service or by email. Continued use after the effective date constitutes acceptance.
